Terms and Conditions of Use — PUL

Welcome to PUL. Please read these Terms and Conditions of Use ("Terms") carefully before accessing or using the platform. By creating an account or using any feature of PUL, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree, you must refrain from using the platform.

1. Definitions

For the purposes of these Terms, the following definitions apply:

  • "PUL" refers to the mobile and web application available at pul.com.ar, including all associated services, features, content, and functionality provided through the platform.
  • "BASEL DATA S.R.L." (hereinafter also referred to as "the Company", "we", "us", or "our") is the legal entity that owns and operates PUL, with registered domicile in the Autonomous City of Buenos Aires, Argentine Republic. CUIT 30-71847186-5.
  • "User" means any natural person who creates an account on PUL and uses the platform in any capacity, whether as a Driver, a Passenger, or both.
  • "Driver" means a User who publishes a Trip offering available seats in a vehicle they operate, for the purpose of sharing a ride with other Users along a common or similar route.
  • "Passenger" means a User who requests to join a Trip published by a Driver in order to share a ride.
  • "Trip" means the journey published by a Driver on PUL, specifying an origin, a destination, a date and time of departure, available seats, and optionally a voluntary cost-sharing contribution.
  • "Organization" means the university or educational institution whose email domain is recognized and verified by PUL. Organizations include, but are not limited to: Universidad de San Andrés (UdeSA), Universidad Torcuato Di Tella, Instituto Tecnológico de Buenos Aires (ITBA), Universidad Austral, and Universidad de Belgrano (UB). PUL may add or remove Organizations at its sole discretion.

2. Acceptance and Eligibility

By accessing or using PUL, you represent and warrant that:

  • You are at least eighteen (18) years of age or the age of legal majority in your jurisdiction, whichever is greater.
  • You possess full legal capacity to enter into binding agreements under the laws of the Argentine Republic and your place of residence.
  • You hold an active, valid institutional email address issued by one of the Organizations recognized by PUL, and you are a current student, faculty member, or staff member of that Organization.
  • All information you provide during the registration process and throughout your use of the platform is accurate, complete, and up-to-date.
  • You have read and accepted these Terms, as well as the Privacy Policy available on the platform.

PUL reserves the right to refuse registration or revoke access to any person who does not meet these eligibility requirements or who provides false, misleading, or incomplete information.

3. Account and Verification

To use PUL, you must create a personal account. Account creation and authentication are performed through a One-Time Password (OTP) system sent to your verified institutional email address. Each email address may be associated with only one account at any given time.

You are solely responsible for maintaining the confidentiality and security of your account credentials and for all activity that occurs under your account. You must immediately notify PUL of any unauthorized use of your account or any other breach of security.

PUL does not verify the real-world identity of its Users. The verification process is limited to confirming that a User holds a valid email address from a recognized Organization. PUL makes no representation or warranty that any User is who they claim to be. You interact with other Users at your own risk and should exercise your own judgment when sharing rides.

You may not transfer, sell, share, or assign your account to any third party. You may not create multiple accounts. BASEL DATA S.R.L. reserves the right to merge, suspend, or delete duplicate or fraudulent accounts without prior notice.

4. Nature of Service

PUL is a technology platform that facilitates contact between members of verified university communities who wish to share rides. PUL provides tools for publishing, searching, and coordinating Trips, as well as a messaging system and a reputation mechanism.

PUL is NOT a transport company. PUL does not provide, organize, or operate any transportation service. PUL does not own, lease, or control any vehicles used for Trips.

PUL is NOT an intermediary. PUL does not act as a broker, agent, or intermediary between Drivers and Passengers. Any arrangement made between Users regarding a Trip—including its route, schedule, cost-sharing contributions, and any other terms—is made directly between the Users involved.

PUL is NOT a party to any agreement between Users. BASEL DATA S.R.L. is not a party to, and assumes no responsibility for, any agreement, arrangement, commitment, or obligation that may arise between Users, whether related to a Trip or otherwise.

The platform's sole purpose is to facilitate contact between members of verified university communities. Any voluntary cost-sharing contribution between Users is a private matter and does not constitute a commercial transaction, a fare, or a fee for transportation services.

5. User Obligations

5.1 General obligations applicable to all Users:

  • Use PUL exclusively for its intended purpose of coordinating shared rides within university communities. Any other use is strictly prohibited.
  • Provide truthful, accurate, and complete information in your profile, Trip publications, and all communications on the platform.
  • Comply with all applicable local, provincial, national, and international laws and regulations.
  • Treat all other Users with respect, dignity, and courtesy. Any form of harassment, discrimination, intimidation, or abusive conduct is strictly prohibited and will result in immediate suspension or termination of your account.
  • Refrain from using PUL for any illegal, fraudulent, or unauthorized purpose, including but not limited to the transport of contraband, weapons, drugs, or any regulated substance.
  • Refrain from attempting to reverse-engineer, decompile, disassemble, or otherwise derive the source code of PUL or any of its components.
  • Refrain from scraping, crawling, or using automated means to access or collect data from the platform without prior written authorization.

5.2 Additional obligations for Drivers:

  • Hold a valid driver's license appropriate for the type of vehicle being used, issued by a competent authority of the Argentine Republic or recognized by bilateral agreement.
  • Maintain current and valid third-party liability insurance covering the vehicle used for Trips, in compliance with Argentine National Traffic Law No. 24.449 and applicable regulations.
  • Ensure that the vehicle is in safe and roadworthy condition, has passed all required technical inspections (VTV/RTO), and complies with all applicable vehicle safety standards.
  • Obey all traffic laws, speed limits, and road regulations at all times.
  • Never operate a vehicle while under the influence of alcohol, drugs, or any substance that may impair driving ability.
  • Not transport more passengers than the number of seats and seatbelts available in the vehicle.
  • Not use PUL as a commercial transport service. Drivers may only share reasonable costs (fuel, tolls, parking) and may not profit from Trips.

5.3 Additional obligations for Passengers:

  • Be punctual at the agreed pickup location. Arrive at the designated point at the time agreed with the Driver.
  • Treat the Driver's vehicle with care and respect. You are responsible for any damage caused to the vehicle by your actions or negligence.
  • Pay any agreed voluntary cost-sharing contribution to the Driver as arranged, at the time and in the manner agreed between the parties.
  • Wear a seatbelt at all times during the Trip, as required by Argentine law.
  • Not engage in conduct that distracts or endangers the Driver, other Passengers, or any third party during the Trip.

PUL does not verify compliance with any of the obligations described in this section. Users are solely responsible for ensuring their own compliance and for assessing the suitability of other Users with whom they share rides. BASEL DATA S.R.L. assumes no responsibility for any User's failure to meet these obligations.

6. Limitation of Liability

To the maximum extent permitted by applicable law, BASEL DATA S.R.L., its shareholders, directors, officers, employees, agents, partners, and affiliates shall not be liable for:

  • Any accident, injury, death, or property damage occurring before, during, or after a Trip arranged through PUL.
  • The conduct, actions, omissions, statements, or behavior of any User, whether online or offline.
  • Any failure, interruption, suspension, delay, or error in the operation of the platform, whether due to technical malfunction, maintenance, cyberattack, force majeure, or any other cause.
  • Any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, data, business, goodwill, or anticipated savings, regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if BASEL DATA S.R.L. has been advised of the possibility of such damages.
  • The accuracy, completeness, reliability, or timeliness of any information provided by Users on the platform, including but not limited to profile information, Trip details, ratings, and reviews.
  • Any dispute, disagreement, or claim arising between Users, including disputes related to cost-sharing contributions, Trip cancellations, delays, or route deviations.

Quantitative limitation: In any event, the total aggregate liability of BASEL DATA S.R.L. arising out of or related to these Terms or the use of PUL shall not exceed the lesser of: (a) ten (10) Unidades de Medida Arancelaria (UMA — Argentine Fee Units), as defined by the Argentine Judiciary, at the value in effect at the time the claim arises; or (b) the total amounts actually paid by the User to BASEL DATA S.R.L. during the twelve (12) months immediately preceding the event giving rise to the claim. If the User has not made any payments, the maximum liability shall be zero.

This limitation of liability is a fundamental element of the agreement between you and BASEL DATA S.R.L. and shall apply to the fullest extent permitted by applicable law, including Argentine Consumer Protection Law No. 24.240 and the Civil and Commercial Code of the Nation.

7. Assumption of Risk

By using PUL and participating in any Trip, you expressly acknowledge, understand, and voluntarily accept the inherent risks associated with shared vehicular transport, including but not limited to:

  • The risk of traffic accidents, vehicle malfunctions, and other road-related incidents.
  • The risk of sharing a confined space with individuals whose identity has not been independently verified by PUL.
  • The risk that a Driver or Passenger may fail to comply with their obligations as described in these Terms or under applicable law.
  • The risk of delays, route changes, cancellations, or other disruptions to planned Trips.
  • The risk of theft, loss, or damage to personal belongings during a Trip.
  • The risk of exposure to communicable diseases or health hazards.

You assume full and sole responsibility for evaluating the risks involved in each Trip and for making informed decisions about your participation. You expressly release BASEL DATA S.R.L. from any and all claims, demands, causes of action, damages, losses, costs, and expenses arising out of or related to the risks described above.

8. Indemnification

You agree to defend, indemnify, and hold harmless BASEL DATA S.R.L., its shareholders, partners, directors, officers, employees, agents, contractors, licensors, service providers, subcontractors, suppliers, and affiliates (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, suits, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or in connection with:

  • Your use of or access to PUL, including any Trip in which you participate as a Driver or Passenger.
  • Your violation or breach of any provision of these Terms.
  • Your violation of any applicable law, regulation, or third-party right, including but not limited to intellectual property rights, privacy rights, and publicity rights.
  • Any content you submit, post, transmit, or make available through PUL.
  • Any dispute between you and another User of PUL.
  • Any claim by a third party related to your participation in a Trip, including claims for personal injury, property damage, or wrongful death.

This indemnification obligation shall survive the termination or expiration of your account and these Terms.

9. Disclaimer of Warranties

PUL AND ALL RELATED SERVICES, FEATURES, CONTENT, AND FUNCTIONALITY ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

To the fullest extent permitted by applicable law, BASEL DATA S.R.L. expressly disclaims all warranties, including but not limited to:

  • Warranties of availability: BASEL DATA S.R.L. does not warrant that PUL will be available at all times, that access will be uninterrupted, or that the platform will be free of errors, bugs, or vulnerabilities.
  • Warranties of accuracy: BASEL DATA S.R.L. does not warrant the accuracy, completeness, or reliability of any information, content, data, or materials available on or through PUL, including information provided by other Users.
  • Warranties of security: BASEL DATA S.R.L. does not warrant that PUL or its servers are free of viruses, malware, or other harmful components, or that your personal data will be fully protected against unauthorized access.
  • Warranties of fitness: BASEL DATA S.R.L. does not warrant that PUL will meet your specific requirements or expectations, or that the results obtained through the platform will be satisfactory.
  • Warranties regarding Users: BASEL DATA S.R.L. does not warrant the identity, character, reliability, safety, or trustworthiness of any User, nor the quality or safety of any vehicle used for Trips.

10. Intellectual Property

The "PUL" name, logo, brand, and all associated trademarks, service marks, trade dress, and visual identity elements are the exclusive property of BASEL DATA S.R.L. and are registered or pending registration with the Instituto Nacional de la Propiedad Industrial (INPI) of the Argentine Republic. All rights are reserved.

The platform's source code, design, architecture, user interface, user experience, algorithms, databases, documentation, and all other technical and creative components are the exclusive intellectual property of BASEL DATA S.R.L., protected by Argentine Copyright Law No. 11.723, Software Protection Law No. 25.036, and applicable international treaties.

User-generated content: By submitting, posting, or transmitting any content through PUL (including but not limited to profile information, Trip descriptions, ratings, reviews, messages, and photographs), you grant BASEL DATA S.R.L. a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content for the purposes of operating, developing, promoting, and improving PUL and the services offered by BASEL DATA S.R.L. This license survives termination of your account.

You represent and warrant that you own or have the necessary rights, licenses, and permissions to grant the above license for any content you submit through PUL.

11. Reputation System

PUL operates a trust-based reputation system designed to promote accountability and a positive community experience. The system works as follows:

  • Trust Score: Each User is assigned a Trust Score ranging from 0 to 100. New Users begin with a default score. The score is calculated based on multiple factors, including Trip completion history, ratings received from other Users, cancellation frequency, reports filed against the User, and overall platform engagement.
  • Post-Trip Ratings: After each completed Trip, both Drivers and Passengers may rate each other. Ratings are intended to reflect the quality and safety of the shared ride experience.
  • Automatic Deactivation: PUL reserves the right to automatically deactivate or restrict the account of any User whose Trust Score falls below a threshold determined by BASEL DATA S.R.L. at its sole discretion. This deactivation may occur without prior notice.
  • Penalties: Late cancellations, no-shows, reports of misconduct, and other negative behaviors may result in penalties applied to the User's Trust Score.

The Trust Score is an internal metric and BASEL DATA S.R.L. is under no obligation to disclose the exact algorithm, weighting, or methodology used to calculate it. The reputation system is provided as a general indicator and does not constitute a guarantee of any User's reliability, safety, or character.

12. Chat and Messaging

PUL provides an in-platform messaging system ("Chat") to facilitate communication between Users regarding Trip coordination. By using the Chat, you agree to the following:

  • Temporary storage: Messages exchanged through the Chat are stored temporarily on PUL's servers for the purpose of delivering the messaging service and for moderation purposes. BASEL DATA S.R.L. reserves the right to define retention periods and to delete messages after a reasonable period of time.
  • Moderation: BASEL DATA S.R.L. reserves the right, but is not obligated, to monitor, review, and moderate messages exchanged through the Chat, whether through automated systems or human review, for the purposes of enforcing these Terms and maintaining community standards.
  • Prohibited content: You must not send, share, or transmit through the Chat any content that is illegal, threatening, abusive, harassing, defamatory, discriminatory, obscene, sexually explicit, or otherwise objectionable. This includes but is not limited to content that promotes violence, hatred, discrimination based on race, ethnicity, gender, sexual orientation, religion, disability, or any other protected characteristic.
  • No expectation of privacy: While BASEL DATA S.R.L. implements reasonable security measures to protect messages, you acknowledge that no electronic communication system is entirely secure and that BASEL DATA S.R.L. cannot guarantee the absolute confidentiality of your messages.

13. Suspension and Termination

BASEL DATA S.R.L. reserves the right, at its sole and absolute discretion, to suspend, restrict, or permanently terminate your account and access to PUL, in whole or in part, at any time, for any reason or for no reason, without prior notice, without providing an explanation, and without any obligation to compensate you in any way.

Without limiting the foregoing, grounds for suspension or termination may include but are not limited to:

  • Violation or breach of any provision of these Terms.
  • Reports of misconduct filed by other Users.
  • A Trust Score falling below the minimum threshold established by BASEL DATA S.R.L.
  • Fraudulent, deceptive, or illegal activity.
  • Failure to maintain a valid institutional email address from a recognized Organization.
  • Extended inactivity, as determined by BASEL DATA S.R.L.
  • Any other conduct that BASEL DATA S.R.L. considers harmful to the platform, its Users, or its reputation.

You may voluntarily terminate your account at any time by using the account deletion feature within PUL. Upon termination, your personal data will be handled in accordance with the Privacy Policy and applicable data protection regulations, including soft deletion and anonymization procedures.

14. Modifications to These Terms

BASEL DATA S.R.L. reserves the right to modify, amend, update, or replace these Terms at any time, at its sole discretion. Modifications shall become effective immediately upon their publication on PUL or upon notification to Users via email or in-platform notification, whichever occurs first.

It is your responsibility to review these Terms periodically for changes. Your continued use of PUL after the publication or notification of any modifications constitutes your acceptance of and agreement to the modified Terms. If you do not agree with any modification, your sole remedy is to discontinue use of the platform and delete your account.

The date of the most recent revision is indicated at the top of this document under "Last updated."

15. Dispute Resolution

15.1 Mandatory prior mediation: Before initiating any judicial proceeding related to these Terms or the use of PUL, the parties agree to submit the dispute to mandatory prior mediation in accordance with Argentine Law No. 26.589 (Mandatory Mediation Law) and its regulatory decrees. The mediation shall be conducted in the Autonomous City of Buenos Aires before a mediator registered with the National Mediation Registry (Registro Nacional de Mediación) of the Argentine Ministry of Justice.

15.2 Exclusive jurisdiction: In the event that mediation does not result in a resolution, or for any claims exempt from mandatory mediation, the parties irrevocably submit to the exclusive jurisdiction of the Ordinary Commercial Courts of the Autonomous City of Buenos Aires (Juzgados Nacionales en lo Comercial de la Ciudad Autónoma de Buenos Aires), expressly waiving any other jurisdiction or venue that may correspond to them by reason of domicile, present or future.

15.3 Applicable law: These Terms shall be governed by and construed in accordance with the laws of the Argentine Republic, without regard to conflict of law principles.

16. Force Majeure

BASEL DATA S.R.L. shall not be liable for any failure or delay in the performance of its obligations under these Terms to the extent that such failure or delay results from events or circumstances beyond its reasonable control ("Force Majeure Events"). Force Majeure Events include, but are not limited to: natural disasters, epidemics, pandemics, acts of God, war, terrorism, riots, civil unrest, government actions or restrictions, embargoes, sanctions, labor disputes, strikes, fire, flood, earthquake, power outages, telecommunications failures, internet service disruptions, cyberattacks, hardware or software failures, and any other event that is unforeseeable, unavoidable, and beyond the reasonable control of BASEL DATA S.R.L.

In the event of a Force Majeure Event, BASEL DATA S.R.L.'s obligations under these Terms shall be suspended for the duration of the event, without penalty or liability of any kind.

17. Communications and Notifications

All communications, notices, and notifications from BASEL DATA S.R.L. to Users shall be made through one or more of the following channels:

  • The email address registered in the User's account.
  • In-platform notifications (push notifications, banners, or messages within PUL).

You agree that any communication sent to your registered email address or delivered through the platform shall be considered valid and effective notification. It is your responsibility to ensure that your registered email address is current, active, and monitored regularly.

Any communication from Users to BASEL DATA S.R.L. regarding these Terms or the use of PUL should be directed to the contact information provided in Section 19 below.

18. General Provisions

18.1 Entire agreement: These Terms, together with the Privacy Policy and any other legal notices or policies published on PUL, constitute the entire agreement between you and BASEL DATA S.R.L. regarding your use of the platform, and supersede all prior or contemporaneous oral or written agreements, representations, warranties, and understandings.

18.2 Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect the remaining provisions, which shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent to the greatest extent possible.

18.3 Assignment: You may not assign, transfer, or delegate your rights or obligations under these Terms without the prior written consent of BASEL DATA S.R.L. BASEL DATA S.R.L. may freely assign, transfer, or delegate its rights and obligations under these Terms, in whole or in part, to any third party without your consent, including but not limited to assignments in connection with a merger, acquisition, corporate restructuring, or sale of all or substantially all of its assets.

18.4 Waiver: The failure or delay by BASEL DATA S.R.L. to exercise or enforce any right, remedy, or provision of these Terms shall not constitute a waiver of such right, remedy, or provision. A waiver of any provision shall only be effective if made in writing and signed by an authorized representative of BASEL DATA S.R.L. Any single or partial exercise of a right shall not preclude any other or further exercise of that right or any other right.

18.5 Survival: All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: Limitation of Liability (Section 6), Assumption of Risk (Section 7), Indemnification (Section 8), Disclaimer of Warranties (Section 9), Intellectual Property (Section 10), Dispute Resolution (Section 15), and this General Provisions section (Section 18).

18.6 Prevailing language: These Terms may be made available in languages other than Spanish for the convenience of Users. In the event of any conflict, discrepancy, or inconsistency between the Spanish version and any translation, the Spanish-language version shall prevail and govern in all cases.
